What is a Listing?
A listing is your fundraising request to all investors on the platform. There is no other way to raise funds within OceUp without creating and publishing your listing. Please note that you cannot publish your listing without first making your StartUp profile public.
In your listing, you will need to provide the most essential information that an investor should know to decide whether or not to invest. This includes details such as your investment goal, intended use of funds, and pre-money valuation.
You can publish your listing in two ways:
CrowdFunding: This option is for StartUps looking to raise funds from a large group of investors. Itβs ideal when you want to engage the crowd and give a wide range of people the chance to invest. Choose this option if you're seeking to attract many small to medium-sized investments.
Restricted Round: A restricted round is for StartUps that prefer to raise funds from a select group of investors. This option is suited for those who want to work with specific investors, perhaps with previous relationships or those already vetted. If you want to limit the number of investors involved, a restricted round is the right choice.
Each listing can be made with three types of investment instruments:
SAFE (Simple Agreement for Future Equity): This agreement allows investors to provide funds now in exchange for the right to convert their investment into equity at a later date, typically when the company raises its next round of funding. Itβs a flexible and founder-friendly option.
Equity: With this option, investors provide funding in exchange for a direct ownership stake in your StartUp. This is a more traditional investment model and gives investors a share of your company immediately.
Convertible Note: This is a form of short-term debt that converts into equity, usually during a later funding round. It offers investors the opportunity to convert their loan into shares at a discounted rate once the StartUp raises further funds.
VIsiblity
You can create your listing without publishing. Once you publish it, you can turn it to private if required. You can also delete your listing.
If your listing is public, every investor within the platform can view and read your listing and your StartUp. However, no startups have the possibility to view your listing.
